Terms & Conditions

In these Terms and/ or “Applicant”, “User”, “You” or “Your” shall refer to you, the person(s) access

and register on the website www.mfstreet.com and/or mobile application ‘‘MFstreet’’ operated and

managed by “Rolling Returns Investments Private Limited”, registered office at F-601 Saket Dham

Plot E-10 , Sector 61 Noida - 201301, Uttar Pradesh, India ,together referred to as “Company” or

“We” or “Us”, collectively referred to as, “the Platform “and wherever the context requires, shall

also include its affiliates and their respective employees, officers, directors, agents and

representatives. Parties mean “Rolling Returns Investments Private Limited” and you collectively,

and Party means any one of them, as the context may indicate. “Rolling Returns Investments Private

Limited” holds, a registration with Association of Mutual Funds in India ("AMFI") and has obtained

ARN Code 156465, provides services for distribution of financial Mutual Funds on the Platform

(website / mobile application) ‘‘MFstreet’’.

User Account, Password and Security

In order to access the Platform Services on the Platform and Your account on the Platform

(“Account”), You will have to register on the Platform by providing details including but not limited

to mobile number, mother’s name, father’s name, email address, password, date of birth, gender,

Permanent Account Number (PAN), signature, marital status, nominee details, cancelled cheque,

photograph and video recording, etc. and other information as may be required by the Company

from time to time. Your Account will be activated once “Rolling Returns Investments Private

Limited”, undertakes Your KYC verification in accordance with the Know Your Client (“KYC”)

guidelines issued by the Securities and Exchange Board of India (“SEBI”) based on the information

provided by You including personal information.

We may also ask You for certain financial information, including Your billing address, bank account

details, credit card number, expiration date and/or other payment related details or other payment

method data, and debit instructions or other standing instructions to process payments for the

Platform Services. The Company may ask You to provide certain additional information about

Yourself on a case-to-case basis. You shall ensure and confirm that the Account information provided

by You is complete, accurate and up-to-date. If there is any change in the Account information, You

shall promptly update Your Account information on the Platform. If You provide any information

that is untrue, inaccurate, not current or incomplete (or becomes untrue, inaccurate, not current or

incomplete), or if the Company has reasonable grounds to suspect that such information is untrue,

inaccurate, not current or incomplete, the Company has the right to suspend or terminate Your

Account and refuse any and all current or future use of the Platform (or any portion thereof) at its

discretion, in addition to any right that the Company may have against You at law or in equity, for

any misrepresentation of information provided by You.

You will be responsible for maintaining the confidentiality of the Account information and are fully

responsible for all activities that occur under Your Account and also agree to keep your login

credentials safe and confidential at all times. You further agree to promptly change your login

credentials and inform the Company immediately in case of any actual or suspected unauthorized

use of Your Account. The Company cannot and will not be liable for any loss or damage arising from

Your failure to comply with this provision. You may be held liable for losses incurred by the Company

or any other user of or visitor to the Platform due to authorized or unauthorized use of Your Account

as a result of Your failure in keeping Your Account information secure and confidential.

• You are required to register on the Platform and create a ‘MFstreet’ account by providing your

information (“Your Account”) in order to avail our Service(s) (defined below).

• “Rolling Returns Investments Private Limited” reserves the right to require additional information/

authorization(s) as may be deemed necessary by “Rolling Returns Investments Private Limited”, in

its sole discretion, to complete its internal verification process.

• In the event “Rolling Returns Investments Private Limited” is unable to successfully complete its

internal verification in accordance with its policies, “Rolling Returns Investments Private Limited”

has the right to unilaterally reject the request for creation of Your Account and/ or availing any of

the Service(s), without assigning any reasons whatsoever and without notice.

• You agree that collection, storage, sharing or disclosure of Your Information that You provide to us

at the time of Your Account opening or otherwise shall be governed by the privacy policy of “Rolling

Returns Investments Private Limited” (“Privacy Policy”), incorporated herein by way of reference.

By accepting these Terms, you acknowledge that you have read and understood these Terms and

specifically consent to our collection of the stated information in accordance with the Privacy Policy.

• You hereby irrevocably and unconditionally grant your no objection to “Rolling Returns Investments

Private Limited” to collate the transaction details relating to the investments in Mutual Funds as

done by you on the Platform and to transmit such transaction data to the concerned Mutual Funds

Providers for further processing of your transactions.

• By creating Your Account, you declare and confirm that:

• You are at least 18 (eighteen) years of age and otherwise capable of entering into these Terms and

performing the obligations set out hereunder. Where you are acting as guardian on behalf of a

minor, you have the necessary authority to register/sign up for the Services on behalf of the minor.

• You have created Your Account for your own personal use and that any information you provide to

“Rolling Returns Investments Private Limited”, both when you create Your account and, in the

future, belongs to you (and is not that of any third person) and that the same is true, accurate,

current and complete.

• You understand and agree that any change of Your Information including but not limited to address,

mobile no., e-mail id, bank details for Your Account, can only be affected in accordance with “Rolling

Returns Investments Private Limited” policies after completing certain other formalities in this

regard. You may be required to submit additional information/ authorizations, as required by

“Rolling Returns Investments Private Limited” policies, from time to time, to authenticate the

modified details and may not be able to use the Service(s) until verification of the changed details is

successfully completed by “Rolling Returns Investments Private Limited”.

• You acknowledge that any incorrect/ false information submitted by you may cause “Rolling Returns

Investments Private Limited” or third parties substantial economic damage and loss. You hereby

agree that you will indemnify “Rolling Returns Investments Private Limited” for any loss, damage,

claim, action, costs, charges and expenses which “Rolling Returns Investments Private Limited” may

suffer or incur as result of acting on, or relying on the information/ authorizations provided by you.

• You will be responsible for safeguarding the security and confidentiality of Your Account and

password; that you will not share, assign or transfer Your Account or reveal your password to any

third party or do anything else that might jeopardize the security of Your Account; and that you will

be solely responsible and liable for all actions/instructions initiated using your Account.

• You are/will be in compliance with KYC requirements under applicable SEBI/AMFI or any other

applicable regulations before you start investment in Your Account and at all times going forward.

Services

• When we refer to our “Service(s)” we mean:

• Distribution Service(s) - the facility provided by the “Rolling Returns Investments Private Limited”

to you which will enable you to place investment request(s) or Buy or Switch or Sell mutual funds

schemes including but limited to mutual fund units offered/ distributed by “Rolling Returns

Investments Private Limited” in its capacity as an intermediary/ agent of such selected mutual funds

(“MFs”)/ Asset Management Companies (“AMCs”)/ any other third-party service providers/ vendors

(“Mutual fund Providers”).

Limitations

• You agree and acknowledge that the Distribution Service(s) is/ are presently available in respect of

select Mutual fund Providers only with whom “Rolling Returns Investments Private Limited” has

entered into a separate arrangement and as are displayed on the Platform. You shall be entitled to

subscribe for and transact the units of such other Mutual fund Providers with whom “Rolling Returns

Investments Private Limited” may enter into specific arrangement in the future on the terms and

conditions as contained herein.

• It is clarified that when providing the Distribution Service(s), the role is restricted to

• Providing information about the Mutual fund Providers and their respective Mutual Funds;

• Distributing the Mutual fund and/ or acting as a referrer to the third-party Mutual fund Provider;

• Processing (accepting and forwarding) the relevant instructions received from the Applicant(s) to the

respective Mutual fund Providers.

• Additionally, “Rolling Returns Investments Private Limited” may also provide services relating to

providing mutual fund updates, statements, performance updates, etc. in the event they are sent to

“Rolling Returns Investments Private Limited” by the Mutual fund Provider.

• The “Rolling Returns Investments Private Limited” is acting only as a distributor and / or referrer of

Mutual Funds to its customers. These Mutual Funds do not pertain to “Rolling Returns Investments

Private Limited” and are not endorsed or guaranteed nor do they constitute obligations of “Rolling

Returns Investments Private Limited” or any of its subsidiaries, associates or affiliated companies.

• The “Rolling Returns Investments Private Limited” only acts as an intermediary to facilitate

transactions in the Mutual fund, on behalf of and on receipt of instructions from the Applicant/ You.

All transactions undertaken to be subject to the terms and conditions stated herein and as

specifically applicable for each Mutual fund;

• All decisions to Buy, Sell or execute any transaction will be solely Yours. It will be deemed that all

decisions taken by you and instructions sent for execution have been arrived at after due

consideration of all aspects and “Rolling Returns Investments Private Limited” accepts no liability

whatsoever in this regard Any information/ details provided by “Rolling Returns Investments Private

Limited” on the Platform are for information only and reflect “Rolling Returns Investments Private

Limited” views. You agree and understand that all investment decisions are solely with you and shall

be based on your personal judgement and after due consideration of all aspects involving the

investment. All decisions to invest / hold / Sell any specific Mutual fund are at your sole discretion

and “Rolling Returns Investments Private Limited” accepts no liability whatsoever in this regard.

• You understand and agree that the “Rolling Returns Investments Private Limited” does not in any

manner guarantee; the liquidity, redemption, sale or repayment of any Mutual Funds, whether on

or prior to maturity; make any offer to buy back for any of the Mutual Funds; the payment of interest,

dividend or any other corporate action; and promise any returns.

• All investments are subject to investment risks, including the possible loss of the principal amount

invested. Past results are not indicative of future performance. The value of investments may

fluctuate from time to time resulting in gains / profits or losses, as the case may be. Past performance

should not be construed as an indication or guarantee of future performance.

• In the absence of “Rolling Returns Investments Private Limited” gross negligence, bad faith or wilful

misconduct, as long as “Rolling Returns Investments Private Limited” acts in compliance with such

authorization / instruction, “Rolling Returns Investments Private Limited” shall be indemnified for

and held free and harmless from and against any and all responsibility for, any and all costs, claims,

losses or liabilities of any nature (direct or indirect) resulting from any act of omission (or any delay)

or the basis of instructions to “Rolling Returns Investments Private Limited” to Buy any Mutual

Funds, together with any and all attendant costs and expenses including “Rolling Returns

Investments Private Limited” reasonable legal fees and expenses, collectively referred to as „losses‟

• In the process of offering these Distribution Service(s), “Rolling Returns Investments Private

Limited” may be required to share information relating to the Services availed by you, your

transactions and / or your holdings to the regulators, auditors, other statutory bodies, third party

Mutual fund Providers, their agents or intermediaries and subsidiaries or affiliates of “Rolling

Returns Investments Private Limited”. You hereby authorize “Rolling Returns Investments Private

Limited” to share such information on a need basis.

• In lieu of the Distribution Service(s) provided, “Rolling Returns Investments Private Limited” may

receive an upfront and / or recurring fee from the Mutual fund Provider(s). You have no objection

to the same. Details of the fees may be provided on the Platform or some other public domain or

provided to you on specific request.

• There may be an exit load applicable to certain Mutual fund schemes which would be mentioned in

the respective offer documents including Scheme Information Document (SID) /Key Information

Memorandum (KIM) and addendums issued thereto from time to time (collectively referred to as

“Scheme Related Documents”). You are required to read all the Scheme Related Documents before

investing.

• You agree and understand that “Rolling Returns Investments Private Limited” does not solicit

clients or investments of persons resident in the United States of America (“U.S.”) and Canada. You

agree and acknowledge that “Rolling Returns Investments Private Limited” and the various Mutual

fund Providers shall not be liable for rejection of any application by any Mutual fund Provider, where

the investor is a person resident in U.S., Canada and/or any other person prohibited from investing

under the relevant Scheme Related Documents subsequent to the processing of a transaction.

• Buy requests made through the Platform shall be processed by the respective Mutual fund

Provider(s) only after funds sufficient to cover the Buy price of the Mutual fund(s) and other costs

and charges have been received by the respective Mutual fund Provider(s). Payments towards the

Buy price and other costs and charges shall be made through the payment facilities including the

payment gateway, NACH mandate, NEFT/RTGS or any other payment facilities made available by

“Rolling Returns Investments Private Limited” on the Platform. If for any reason, the Mutual fund

Provider is unable to allow a transaction for Buy or redemption of the full quantity of units transacted

by you through the Platform, the respective Mutual fund Provider shall be at liberty to process a

lesser quantity of the units sought to be Buy or Sell (as the case may be) by you. In such a case,

neither “Rolling Returns Investments Private Limited” nor the Mutual fund Provider(s) shall be

responsible for the non‐ execution of transaction for the entire quantity or the remaining quantity

of units sought to be Buy/ Sell.

• The Distribution Service(s) provided by the Platform “MFstreet” are available and appropriate for

use only in relation to Mutual Funds offered by Mutual fund Providers in India.

• You must comply with all applicable laws to avail of/ use our Distribution Service(s).

• You expressly agree and acknowledge that any information contained on the Platform or other

material or otherwise communicated by “Rolling Returns Investments Private Limited” shall not be

construed by you as the basis of investment and that all decisions to Buy /Sell / transact (as defined

under the Securities Contracts (Regulation) Act, 1956 made by you shall be on the basis of your own

personal judgement arrived at after due consideration.

• Notwithstanding anything stated herein should the “Rolling Returns Investments Private Limited”

working as distributor give any incidental advice to the Mutual Funds offered by distributor or make

any representation to you, it shall be your responsibility to make an independent assessment.

Platform Usage

Subject to compliance with the Terms of Use, the Company hereby grants You a non-exclusive,

limited privilege to access and use this Platform. You agree to use the Platform only: (a) for purposes

that are permitted by the Terms of Use; and (b) in accordance with any applicable law, regulation or

generally accepted practices or guidelines.

You agree that You shall not copy, reproduce, sell, redistribute, publish, enter into a database,

display, perform, modify, alter, transmit, license, transfer or in any way exploit any part of any

information, content, materials, services available from or through the Platform, except that You

may download the Platform for Your own personal, internal use and non-commercial use.

You agree that You will not use the Platform in any manner or engage in any activity that may

damage, disable or impair or adversely affect the use of the Platform or interfere with any other

users’ use, legal rights, or enjoyment of the Platform. Further, you agree not to remove any text,

copyright or other proprietary notices contained in the content downloaded from the Platform.

Further, You undertake not to:

• defame, abuse, harass, threaten or otherwise violate the legal rights of others;

• publish, post, upload, distribute or disseminate any inappropriate, profane, defamatory, infringing,

obscene, indecent or unlawful topic, name, material or information;

• copy, republish, post, display, translate, transmit, reproduce or distribute any content on the

Platform through any medium without obtaining the necessary authorization from the Company;

• conduct or forward surveys, contests, pyramid schemes or chain letters;

• upload or distribute files that contain software or other material protected by applicable intellectual

property laws unless You own or control the rights thereto or have received all necessary consents;

• upload or distribute files that contain viruses, corrupted files, or any other similar software or

programs that may damage the operation of the Platform or another’s computer;

• engage in any activity that interferes with or disrupts access to the Platform (or the servers and

networks which are connected to the Platform);

• attempt to gain unauthorized access to any portion or feature of the Platform, any other systems or

networks connected to the Platform, to any of the Company’s server, or through the Platform, by

hacking, password mining or any other illegitimate means;

• probe, scan or test the vulnerability of the Platform or any network connected to the Platform, nor

breach the security or authentication measures on the Platform or any network connected to the

Platform. You may not reverse look-up, trace or seek to trace any information on any other User, of

or visitor to, the Platform, to its source, or exploit the Platform or information made available or

offered by or through the Platform, in any way whether or not the purpose is to reveal any

information, including but not limited to personal identification information, other than Your own

information, as provided on the Platform;

• disrupt or interfere with the security of, or otherwise cause harm to, the Platform, systems

resources, accounts, passwords, servers or networks connected to or accessible through the

Platform or any affiliated or linked sites;

• collect or store data about other Users in connection with the prohibited conduct and activities;

• use any device or software to interfere or attempt to interfere with the proper working of the

Platform or any transaction being conducted on the Platform, or with any other person’s use of the

Platform;

• use the Platform or any material or content for any purpose that is unlawful or prohibited by these

Terms of Use, or to solicit the performance of any illegal activity or other activity which infringes the

rights of the Company or other third parties;

• falsify or delete any author attributions, legal or other proper notices or proprietary designations or

labels of the origin or source of software or other material contained in a file that is uploaded;

• violate any applicable laws or regulations for the time being in force within or outside India or

anyone’s right to privacy or personality;

• violate the Terms of Use contained herein or elsewhere; and

• reverse engineer, modify, copy, distribute, transmit, display, perform, reproduce, publish, license,

transfer, or sell any information or software obtained from the Platform.

• You agree and acknowledge that any instruction given or purported to be given by you before the

cut off time as may be intimated by “Rolling Returns Investments Private Limited” to you, from time

to time, would be processed as per the cut-off details given on the Platform.

• You acknowledge that the Mutual Funds shall be allotted, redeemed or switched, as the case may

be, at the Net Asset Value (NAV) prevalent on the date of the application made to the relevant

Mutual Fund Provider, if the application for purchase, redemption or switch is received by the

Mutual Fund Provider before the cut-off time as specified by “Rolling Returns Investments Private

Limited” and consistent with the terms of the scheme and/or the Scheme Related Documents.

However, “Rolling Returns Investments Private Limited” shall not be liable for any loss that may

arise to you as a result of the incorrect NAV applied on units allotted to you by the Mutual Fund

Provider. You acknowledge that any transaction request falling due on a holiday would be processed

on the next business day and respective NAV would be applicable as per the offer document.

• On submission of instructions for redemption of Mutual Funds, the same will be submitted by

“Rolling Returns Investments Private Limited” to the concerned Mutual Fund Provider and the

proceeds out of the redemption shall be credited by the said Mutual Fund Provider to the bank

account specified by you in Your Account opening application or as may be changed by you from

time to time.

• On submission of instructions for switching of mutual fund units, the same will be submitted by

“Rolling Returns Investments Private Limited” to the concerned Mutual Fund Provider and the

instruction shall be processed and the mutual fund units held by you under a specific scheme of the

Mutual Fund Provider shall be switched over to the units of any other scheme of such Mutual Fund

Provider (the “Switched Units”) at the NAV as existing at the time of submission of such Instruction

of such Switched Units.

• You agree and acknowledge that requests for purchase, redemption and/ or switch of Mutual

Fund(s) once placed cannot be cancelled.

Intellectual Property Rights

The Platform and all information, content, materials, products including, but not limited to text,

content, photographs, graphics, texts, video and audio content and computer code (“Content”) on

the Platform is owned and controlled by the Company and the design, structure, selection and feel

and arrangement of the Content is protected by copyright, patent and trademark laws and other

various intellectual property rights either in the favour of the Company, “Rolling Returns

Investments Private Limited” or third parties from whom the appropriate permissions have been

taken under applicable laws. The trademarks, logos and service marks displayed on the Platform

(“Marks”) are the property of the Company and its affiliates or other respective third parties, as the

case may be. You are not permitted to use the Marks without the express prior written consent of

the Company or the third party that owns the Marks.

Further, You understand and accept that all information, except Your personal information and other

data submitted by You for the purposes of transacting on the Platform, through the Platform shall

be deemed the property of the Company, and the Company shall be free to use any ideas, concepts,

know-how or techniques provided by You on the Platform, in any manner whatsoever. On initiating

a contact or query through the Platform, You agree to be contacted by or any other entities with

whom the Company has entered into an arrangement for the provisions of Services to You.

Indemnification

• You agree to keep indemnified and hold “Rolling Returns Investments Private Limited” / its

authorized representatives, service providers, Mutual Funds, Asset Management Companies and

their officers and agents free and harmless at all times, against all monetary and other harm, injury,

costs, losses, liabilities, damages, charges, actions, legal proceedings, claims and expenses and

consequences including without limitation any costs between attorney and client, whether direct or

indirect, by reason of using MFstreet account and/or doing and/or omitting to do anything in

accordance with the Terms specified herein or any instructions relating to the online dealing in

mutual funds through MFstreet.

• You agree that “Rolling Returns Investments Private Limited” / its authorized

representatives’/service providers, Mutual Funds, Asset Management Companies and their officers

and agents are not liable for any loss caused through a fall in value of investments / NAV etc which

can go up or down depending on the factors and forces affecting capital markets or any indirect,

special or consequential loss you might suffer.

• You agree not to hold “Rolling Returns Investments Private Limited”/ its authorized

representatives/service providers liable for any loss or damage caused by reason of failure / refusal

or delay of the mutual fund to deliver any units purchased even though payment have been effected

for the same or failure / refusal or delay in making payment in respect of any units sold though they

may have been delivered and you shall save “MFstreet” / its authorized representatives/service

providers harmless and free from any claim in respect thereof. “Rolling Returns Investments Private

Limited” / its authorized representatives’/service providers shall also not be liable for any delay,

failure or refusal of the Mutual Funds or its authorized agent / RTAs in registering or transferring

units to your names of for any interest, dividend or other loss caused to you arising there from the

“Rolling Returns Investments Private Limited” / its authorized representatives’/service providers

shall not be liable for any delay / refusal / non-payment of any proceeds on redemption or dividend

pay-outs by the Mutual Funds to your accounts for any reason whatsoever.

• You agree and undertake not to hold “Rolling Returns Investments Private Limited”/ its authorized

representatives/service providers for the following:

• Any delay or failure in processing the transactions carried out by you due to any system failure or for

any other reason whatsoever.

• for any loss or damage incurred or suffered by you due to any error, defect, failure or interruption

in the dealing arising from or caused by any reason whatsoever.

• for any fraud, negligence/mistake or misconduct by you including failure to comply with the KRA/KYC

norms or provision of a valid PAN or PMLA requirements.

• for any breach or non-compliance by you of these Terms.

• for not permitting you to deal after such reasonable verification as “Rolling Returns Investments

Private Limited” /its authorized representative may deem fit.

• for any loss or damage incurred or suffered by you due to withdrawal or termination or suspension

of the dealing facility arising from or caused by any reason whatsoever.

Notwithstanding anything contained herein, “Rolling Returns Investments Private Limited” shall

incur no liability to the Client for any act, done or omitted to be done, in good faith and with bona

fide intentions, by reason of

• any provision of any Applicable Law; or

• any decree, order or judgment of any court;

• it becoming impossible or impracticable for “Rolling Returns Investments Private Limited” to carry

out any of the provisions of this Agreement.

You agree that this undertaking shall be valid until such time you have not expressly informed in

writing that you do not wish to deal or transact any longer and it shall be also valid in respect of any

claims made on account of or relating to your dealing with “Rolling Returns Investments Private

Limited”.

Jurisdiction and Applicable Laws

You agree that all claims, differences and disputes arising under or in connection with or in relation

hereto the Website,” Mfstreet”, these Terms of Use or any transactions entered into on or through

the Website shall be subject to the exclusive jurisdiction of the courts at New Delhi, India and you

hereby accede to and accept the jurisdiction of such courts.

If, for any reason, a court of competent jurisdiction finds any provision of these Terms of Use, or

portion thereof, to be unenforceable, that provision shall be enforced to the maximum extent

permissible so as to give effect to the intent of the parties as reflected by that provision, and the

remainder of the Terms of Use shall continue in full force and effect.

Force Majeure

“Rolling Returns Investments Private Limited” shall not be responsible for any delay, default or

failure of performance in respect of its contracted obligations or in the delivery of the services due

to any natural calamities, contingencies beyond their control including but not limited to war, civil

disorder, arson, unavailability of any communication system, virus in the processes, computer

hacking, computer crashes or acts of the government or regulatory authorities in India.

SEBI Discretion

Investment in the securities market (including mutual fund investments) are subject to market risks,

please read all investments, offer and scheme-related documents carefully, before investing. For the

purposes of these Terms of Use, the term “Offer Document(s)” shall refer to a collective term for

Offer Document, Scheme Information Document, Statement of Additional Information, Key

Information Memorandum, issued by the Asset Management Company that manages the mutual

fund.

Report Abuse

In the event You come across any abuse or violation of these Terms of Use or if You become aware

of any objectionable content on the Platform, please report the same to the following e-mail id:

Violation of the Terms of Use

You agree that any violation by You of these Terms of Use will constitute an unlawful and unfair

business practice, and will cause irreparable harm to the Company and/ “Rolling Returns

Investments Private Limited”, as the case may be, for which monetary damages would be

inadequate, and You consent to the Company obtaining any injunctive or equitable relief that they

deem necessary or appropriate in such circumstances. These remedies are in addition to any other

remedies that the Company may have at law or in equity. If the Company takes any legal action

against You as a result of Your violation of these Terms of Use, they will be entitled to recover from

You, and You agree to pay, all reasonable attorneys’ fees and costs of such action, in addition to any

other relief that may be granted.

Suspension and Termination:

The Terms of Use will continue to apply until terminated by either You or the Company as set forth

below. If You object to the Terms of Use or are dissatisfied with the Platform, your only recourse is

to (a) close Your Account on the Platform; and/or (b) stop accessing the Platform. In case you violate

these Terms of Use and/ or any applicable law, the Company may, at any time and in its sole

discretion, terminate Your Account and/or prevent You from accessing the Platform and/or Platform

Services.

The Company may delist You or block Your future access to the Platform or suspend or terminate

your Account if it believes, in its sole and absolute discretion that You have infringed, breached,

violated, abused, or unethically manipulated or exploited any term of these Terms of Use or anyway

otherwise acted unethically. Notwithstanding anything in this clause, these Terms of Use will survive

indefinitely unless and until the Company chooses to terminate them. If You or the Company

terminate Your use of the Platform, the Company may delete any Content or other materials relating

to Your and the Company shall have no liability to You or any third party for doing so. However, Your

transactions details may be preserved by the Company for purposes of tax or regulatory compliance.

The Company, in consultation with “Rolling Returns Investments Private Limited”, may modify

these terms at any time.

Communications:

You hereby expressly agree to receive communication (including transactional messages) or by way

of SMS and/or E-mail from the Company or “Rolling Returns Investments Private Limited”, or any

third party in connection with the Platform Services or Your registration on the Platform. You can

unsubscribe/ opt-out from receiving communications through SMS and e-mail anytime by

visiting support@mfstreet.com

Communication From AMC’s /Mutual Fund Companies

“Rolling Returns Investments Private Limited” may receive information / communication about the

Mutual Fund(s) and / or your relationship with the AMC’s /Mutual Fund from time to time. The same

information may / may not be shared by the AMC’s /Mutual Fund directly with you, depending on

their internal practices and policies. “Rolling Returns Investments Private Limited” may, on a need

basis, send / forward such information to you (where there are more than one Applicants, only to

the first named Applicant). “Rolling Returns Investments Private Limited” shall not be responsible

for verifying the veracity of such information / communication. It shall be your duty to verify such

information / communication and the discrepancy, if any, should be directly reported to the Mutual

Fund Provider as well. “Rolling Returns Investments Private Limited” shall, in no case, be liable or

responsible for any discrepancy in the information / communication so received. You acknowledge

that “Rolling Returns Investments Private Limited” is providing such Mutual Funds merely as a

Distributor / referrer and you shall be bound by the terms and conditions specified by the AMC’s

/Mutual Fund.

Posts

The Company may provide and display content on the Platform which features specific articles/write

ups by third parties in relation to the mutual fund. You hereby agree and acknowledge that such

content displayed on the Platform does not represent the views and/ or recommendations of the

Company and You are required to read the documents carefully before investing in any mutual funds.

You may also be allowed to post and comment on such content on the Platform and You hereby

undertake to ensure that such comments shall not be offensive and will be in accordance with

applicable laws. All material added, created, submitted, or posted to the Platform by You is Your sole

responsibility. The Company reserves the right to review any information provided/data uploaded,

if any, by You on the Platform and delete any information/data that is inconsistent with these Terms

of Use.

IP Violation

• If You believe the Platform violates Your intellectual property, You must promptly notify the

Company in writing at support@mfstreet.com. These notifications should only be submitted by the

owner of the intellectual property or an agent authorized to act on his/her behalf. However, any

false claim by You may result in the termination of Your access to the Platform. You are required to

provide the following details in Your notice:

• the intellectual property that You believe is being infringed;

• the item that You think is infringing and include sufficient information about where the material is

located on the Platform;

• a statement that You believe in good faith that the item You have identified as violating is not

authorized by the intellectual property owner, its agent, or the law to be used in connection with

the Platform;

• Your contact details, such as Your address, telephone number, and/or email;

• a statement that the information You provided in Your notice is accurate, and that You are the

intellectual property owner or an agent authorized to act on behalf of the intellectual property

owner whose intellectual property is being infringed; and

• Your physical or electronic signature.

Taxation & Regulatory Developments

• Any tax implication arising out of any transaction made in relation to an investment would be as per

the provisions of the applicable laws of India.

• For NRIs, the tax laws of the country in which they are resident will also be relevant.

• “Rolling Returns Investments Private Limited” does not provide any income or other tax advisory

or related services. You are advised to use the services of a recognised tax consultant for any advice,

queries or clarifications they may have on Indian or other tax related matters.

• As part of various ongoing tax and regulatory developments around the globe (e.g. FATCA), “Rolling

Returns Investments Private Limited” is being cast with additional investor and counterparty

account related due-diligence requirements. Foreign Account Tax Compliance Act (FATCA) is a U.S.

tax initiative that requires all financial institutions to report information to the relevant tax

authorities about U.S. accounts or accounts of certain entities in which U.S. persons hold a

substantial ownership interest. Such information may be sought either at the time of account

opening or any time subsequently. The onus to provide accurate, adequate and timely inputs in this

regard would be that of the account holder or counter party. In this regard, any change in the status

or information or certification previously provided should also be intimated to “Rolling Returns

Investments Private Limited” forthwith and in any event, within 30 days.

• In the appropriate cases and also especially in case of any omission, delay or failure in providing such

information, we would / may be constrained to report relevant information pertaining to the

account to domestic or foreign tax authorities. We will be unable to provide you advice about any

tax status or FATCA classification relevant to Your Account. It is your responsibility to ensure that

you record your correct tax status / FATCA classification.

Fees & Charges

• “Rolling Returns Investments Private Limited” shall have the discretion to charge such fees as it

may deem fit from time to time and may at its sole discretion, revise the fees for use of any or all of

the Services, by notifying you of such revision through the Platform or in any manner as may be

specified by “Rolling Returns Investments Private Limited” from time to time. You shall be required

to refer to the schedule of fees put up on the Platform from time to time.

• You agree and acknowledge that the fees that “Rolling Returns Investments Private Limited” may

choose to levy shall be in addition to the fees levied by the relevant Mutual Fund Provider, if any.

You agree to make payment of all fees, taxes, other statutory levies, charges and reimbursements of

expenditure in full, without any set-off or counter claim.

Modification

• “Rolling Returns Investments Private Limited” shall have the absolute discretion to amend or

supplement any of the Terms, features and benefits in relation to the Services. “Rolling Returns

Investments Private Limited” may communicate the amended Terms by hosting the same on the

Platform or in any other manner as decided by it.

• You shall be responsible for regularly reviewing these Terms, including amendments thereto as may

be posted on the Platform and shall be deemed to have accepted the amended Terms by continuing

to use the Services.
